ASML's Legal & Compliance Department is responsible for defining and implementing ASML's worldwide legal and compliance strategy and bears the responsibility for all ASML entities worldwide to comply with international laws and regulations, in order to minimize legal risks and to maximize legal and commercial opportunities. The Legal & Compliance Department consists of a team of highly empowered, business oriented lawyers, compliance officers, privacy professionals, paralegals and assistants, working across the globe, accountable for achieving exceptional results.
We are looking for a Head of Legal of the Corporate & ESG group, managing a team of colleagues that are responsible for, among other things, legal support in the areas of ESG, M&A, general Corporate Projects, Disclosures & Annual Reporting, Insider Trading and Legal Entity Management.
Role and Responsibilities
As Head of Legal - Corporate & ESG, you will lead and manage the (Global) Corporate & ESG team within ASML's Legal & Compliance department. In this role, you will (inter alia) be the trusted business partner to the leadership of the Finance department, including Tax, Accounting and Treasury, the leadership of the ESG / Sustainability department.
You will be responsible – supported by a team of about 5 legal counsel – for a broad variety of corporate law issues relevant to a dual listed, globally operating company. This includes advising on topics of securities law and financial market transactions, and disclosures (annual reporting, press releases, WFT requirements, publications review). In addition, your scope of responsibility includes areas like M&A, Legal Entity Management and special Corporate Projects.
You will also manage the team responsible for legal support on ESG matters, with a focus on the Environmental and Sustainability parts of ESG (Governance is dealt with by another team in the Legal & Compliance department).
The position is a Director-level function (i.e. part of Senior Management), reports to the Head of Legal HQ / Deputy General Counsel and sits on his/her Leadership Team. The position is based in Veldhoven, the Netherlands.
The role involves working with colleagues all over the world, from factory floor to executive management, and might occasionally require you to travel to the U.S. and Asia.
Education and Experience
• At least 12-15 years relevant experience as a corporate lawyer in an international, culturally-diverse business environment. Experience with advising listed companies is a must;
• Proven leadership capabilities;
• Experience with being a strategic proactive trusted business partner to executive management;
• Extensive background in Dutch corporate law, including disclosure requirements;
• Experience with advising on (corporate aspects of) ESG issues, including disclosures.
