    About the Role
    Xtransfer B.V. is a rapidly growing Electronic Money Institution (EMI) licensed by the Dutch Central Bank (DNB). We are looking for a senior Legal Counsel to serve as the legal backbone of our Dutch operations.
    Unlike a standard corporate counsel role, this position sits at the intersection of commercial growth and strict financial regulation.

    You will not just "review contracts"; you will navigate the regulatory perimeter of the Wft and PSD2, manage complex outsourcing arrangements, and serve as the guardian of our corporate governance.

    Key Responsibilities

    • Regulatory & Product CounselingAct as the primary legal advisor on Dutch financial regulations (Wft, Wwft, PSD2), translating complex regulatory requirements into practical business advice.
    Review new financial products and features to ensure compliance with DNB requirements and consumer protection laws before launch.
    Manage regulatory inquiries and maintain a constructive relationship with regulators alongside the Compliance function.2.

    Commercial Contracts & OutsourcingDraft, negotiate, and manage high-stakes commercial agreements, including merchant terms and conditions, SaaS, banking partnerships, and technology vendors.


    Critical:

    Ensure all material outsourcing agreements comply with DNB guidance on outsourcing (including "Right to Audit" clauses and exit strategies).3.

    Data Privacy & SecurityServe as the internal subject matter expert on GDPR, particularly regarding the processing of sensitive financial transaction data.

    Manage data processing agreements (DPAs) and conduct Data Protection Impact Assessments (DPIAs) for new processing activities.4.

    Corporate Governance & HousekeepingManage the corporate secretariat for Xtransfer B.V., ensuring proper board resolutions, meeting minutes, and filing obligations are met.

    Advise the Management Board on directors' liability, governance structures, and inter-company relationships.
    Skills & Requirements

    Education:
    Master of Laws (LL.M), preferably in Dutch Law (or strong proven experience in Dutch jurisdiction).


    Experience:
    5-10 years of relevant legal experience.

    A substantial portion of this must be within a regulated financial institution (Bank, EMI, PSP) or a top-tier law firm's Financial Regulatory practice.


    Regulatory Knowledge:
    Deep understanding of the Wft (Financial Supervision Act), PSD2, and GDPR. Familiarity with DORA (Digital Operational Resilience Act) is a strong plus.


    Language:
    Professional fluency in English is mandatory. Fluency in Dutch is highly preferred for reviewing local legislation and DNB correspondence.


    Mindset:
    You are not a "check-the-box" lawyer.

    You are pragmatic, able to push back on commercial teams when license risks are high, but creative enough to find compliant paths to growth.
