We have an exciting opportunity for a Legal Officer for our Corporate client portfolios. Reporting to a Senior Legal Services Lawyer Corporates, this full-time and permanent position is based in Amsterdam and offers regional coverage, enabling you to make a significant impact on our Corporate business and its growth. In this role you can develop your knowledge of Dutch law and regulations in the broadest way possible and collaborate with and learn from experienced colleagues in a variety of fields. You will work with a tight team of lawyers on the same portfolio, alongside dedicated financials and relationship managers, to ensure high client satisfaction, solve complex questions and provide a full range of corporate services. You will also be able to spar with experienced legal team members on other portfolios and grow together.

    Key Responsibilities

    • Review transactional documentation relating to (re)financings, acquisitions, mergers, restructurings and other corporate matters.
    • Identify, in relation to such transactions, potential legal or compliance issues, understand deal terms and implications, and translate into Vistra (transaction) clearance summaries with follow-up actions (if necessary).
    • Prepare the resolutions, agreements, power of attorney and other documents related to legal transactions; coordinate with involved law, accounting, audit, tax firms, notaries, and the Dutch chamber of commerce.
    • Identify legal and compliance risks on an ongoing basis for all client entities in the Vistra Corporates portfolio.
    • Handle day-to-day management of client entities and corporate legal matters in accordance with Dutch corporate law and regulations.
    • Maintain corporate and compliance client files with timely and accurately drafted, reviewed and revised corporate legal documentation.
    • Ensure, together with colleagues, that deadlines of statutory/corporate legal matters are met.
    • Proactively identify potential (Director's) liabilities.
    • Communicate professionally (verbal and written) with clients, shareholders, advisors and other relevant parties concerning legal matters.

    Key Requirements

    • Structured, detail-oriented person with a high focus on quality and client satisfaction.
    • Excellent command of English, both verbal and written.
    • Sound knowledge of Microsoft Office (Excel, Word, PowerPoint).
    • Sound knowledge of Book 2 Dutch Civil Code and basic accounting knowledge.
    • Minimum 1 year of relevant experience in providing legal support in a corporate environment.
    • Experience in working with (international) clients is beneficial.
    • Completed Master in Law (Dutch Law with emphasis on company law, notary law or fiscal law).
